Terms of Service

LIT Insurance Technologies LLC - Last updated: October 10, 2026

These Terms govern access to and use of LIT/AMS, including the website, the LIT-AMS mobile apps, public pages, personal workspaces, company workspaces, enterprise relationships, onboarding, reporting, sales operations, training, HR tools, statements, commissions, and related services.

Agreement to these Terms

By creating an account, accepting an invitation, accessing a workspace, or using the service, you agree to these Terms and any referenced policies. If you use the service on behalf of an agency, enterprise, company, or organization, you represent that you are authorized to bind that organization.

If you do not agree, do not create an account, accept an invite, or use the service.

The service: website and mobile apps

In these Terms, "LIT-AMS", "LIT/AMS", "the service" and "the Services" mean the platform operated by LIT Insurance Technologies LLC, including the website at lit-ams.com, signed-in workspaces, public agent pages, and the LIT-AMS mobile apps (the "Apps"). The Android App is distributed through Google Play; an iOS App for the Apple App Store is planned. These Terms, the Privacy Policy, the Subscription & Billing Terms, the Acceptable Use Policy and, where applicable, the Data Processing Addendum apply to every way you use the service, including the Apps.

Who may use the service

The service is business software for licensed insurance agents, agencies and their authorized staff. You must be at least 18 years old and able to form a binding contract to create an account or use the service, including the Apps. The service is not intended for consumers shopping for insurance for themselves and is not directed to children. Do not create an account for anyone under 18.

U.S. business customers and authorized overseas staff

The service is offered for business use by customers whose principal place of business is in the United States. A customer may authorize employees or contractors working abroad to access its workspace. The customer is responsible for authorizing that access, limiting permissions, and satisfying applicable privacy, employment, insurance and cross-border data obligations. Overseas staff access does not make the platform an insurance service for foreign markets.

Accounts, workspaces, and users

You are responsible for maintaining accurate account information, protecting credentials, assigning appropriate user roles, and managing access for your team, agents, staff, contractors, and connected enterprises.

Company owners and enterprise administrators are responsible for the activity that occurs in their workspaces and for ensuring that users have only the access they need.

Mobile apps

License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Apps on devices you own or control, only to access your LIT-AMS account for business purposes.

Free to download; no purchases in the App. The Apps are free to download. You can create a free account in the App. The Apps do not sell subscriptions, upgrades or other digital content and do not show prices. Plan changes and purchases happen only on our website under the Subscription & Billing Terms; Google and Apple do not bill for LIT-AMS plans. Some features that require a paid plan, or that exist only on the website, may not be available in the Apps.

Staying signed in. To keep you signed in, the App stores a sign-in credential on your device, encrypted with the device keystore; our servers keep only a hashed copy, together with the device name and model, platform and App version. The credential expires after 90 days without use and is revoked when you sign out of the App. You are responsible for securing devices on which you stay signed in, including with a screen lock.

Notifications. If you allow it, the App receives push notifications about new leads, delivered through Google Firebase Cloud Messaging (and, for the iOS App, Apple Push Notification service). On the lock screen the notification says only "New lead"; inside the notification it may show the lead's first name and last initial, lead source and state. You can turn notifications off at any time in your device settings. Notifications can be delayed or not delivered; do not rely on them as your only way to learn about leads or deadlines.

App stores. You get the Apps from Google Play or, when available, the Apple App Store, and your use of those stores is also subject to their terms. The store provider is not a party to these Terms and is not responsible for the Apps, their content, maintenance, support or warranty, or for claims about them; as between you and the store provider, we are responsible for the Apps to the extent stated in these Terms.

Additional terms for Apple devices. If you use an App obtained from the Apple App Store: (a) these Terms are between you and us only, not Apple; (b) your license is limited to Apple-branded products you own or control, as allowed by the Usage Rules in the App Store Terms of Service; (c) Apple has no obligation to provide maintenance or support for the App; (d) if the App fails to conform to an applicable warranty you may notify Apple, and Apple will refund the purchase price, if any (the App is free); to the maximum extent permitted by law Apple has no other warranty obligation for the App; (e) Apple is not responsible for addressing claims relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and consumer protection, privacy or similar claims; (f) Apple is not responsible for the investigation, defense, settlement or discharge of any third-party claim that the App infringes intellectual property rights; (g) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties; (h) you must comply with applicable third-party terms, such as your wireless data agreement, when using the App; and (i) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as to the App.

Customer data and ownership

As between you and us, you retain ownership of customer records, employee records, sales records, carrier statements, uploaded files, notes, training content, company configuration, and other data you submit to the service.

You grant us permission to host, process, transmit, display, back up, and use that data only as needed to provide, secure, maintain, support, and improve the service.

Your clients' information and our role

When you store information about your clients, prospects, policyholders, employees or other people in the service, you are the business responsible for that information and we act as your service provider. We process it only to provide, secure, support and maintain the service, as described in these Terms, the Privacy Policy and the Data Processing Addendum. We do not sell it, we do not share it for cross-context behavioral advertising, and we do not use it to build profiles for any other purpose.

Data entered in an agency, company or enterprise workspace belongs to that agency or company. When an agent leaves, is removed or closes an account, that workspace's records stay with the agency or company.

You are responsible for having the right to collect and use that information, for giving the people it concerns any notices required by law (for example under the Gramm-Leach-Bliley Act or state insurance privacy laws), and for responding to their requests. The service is not intended for information that requires a HIPAA business associate agreement unless we sign one in writing.

AI Insurance Toolkit — Estimates

LIT-AMS provides preliminary information to support licensed insurance professionals. Outputs may contain errors, omissions or outdated information and do not bind an insurer or establish eligibility, coverage or final premiums. Users must verify results against current insurer materials and comply with applicable licensing, appointment, advertising, illustration and disclosure requirements. Do not present unverified LIT-AMS output as an insurer-approved quote or illustration. Provide customers with required insurer documents and disclosures. These terms do not replace those obligations or excuse inaccurate or misleading statements, whether written or spoken.

Insurance Estimator figures are estimates only. They are not quotes, offers of insurance or underwriting decisions, and the final premium and eligibility are set only by the insurer. Links you share with a client to an estimate expire after 24 hours.

The basic estimate is calculated from rate tables on our own servers. The optional Detailed Analysis on the website sends the client profile you entered, which can include the client's name, age, sex, state, height and weight, tobacco use, health conditions and medications, to our AI provider (currently OpenAI) to generate the analysis. AI output can be wrong or inconsistent and is not a recommendation by LIT-AMS. Use Detailed Analysis only with the client's permission and where your carriers, agency and the law allow it, and enter only what is needed; never enter Social Security numbers or medical records.

Financial, commission, and statement calculations

LIT-AMS is a workflow and CRM tool. It is not accounting, bookkeeping, ledger or payroll software, and it does not provide tax, legal, accounting or financial advice.

The platform may display estimated commissions, chargebacks, payouts, statement totals, production figures, premiums, overrides, payroll previews, and related financial summaries. These figures are best-effort estimates provided for operational visibility only. They may contain errors and are not guaranteed to be accountant-accurate, payroll-accurate, tax-ready, or suitable for official accounting purposes. Do not rely on them for accounting, payroll or tax.

Any payment, commission, chargeback, override, premium, statement, or earnings estimate shown in the platform should be treated as an informational approximation based on records, carrier statements, user uploads, configuration settings, and data supplied by the agency, enterprise, agent, carrier, or other users. The system can contain mistakes, missing data, duplicate data, configuration errors, parsing errors, timing differences, or carrier-statement discrepancies.

Customers and users are responsible for independently verifying all financial, payroll, commission, tax, and accounting information with carrier statements, their own records, accountants, tax professionals, payroll providers, and legal or compliance advisors. The platform is not an accounting system, payroll provider, tax advisor, financial advisor, insurance carrier, broker-dealer, MGA, or legal advisor.

Insurance and compliance responsibilities

LIT/AMS is workflow software. We do not sell insurance, issue policies, make underwriting decisions, provide tax or legal advice, guarantee carrier payment, or determine whether an agent, agency, company, or user is properly licensed or compliant.

You are responsible for licensing, appointments, carrier requirements, state and federal insurance rules, marketing compliance, lead consent, recordkeeping, customer communications, compensation practices, and any required disclosures.

Communications with your clients and prospects

The service lets you contact and keep records about consumers, for example by email, WhatsApp and payment reminders, and lets you receive leads from sources you connect. You decide whom to contact, when and what to say, and you are the sender of those messages. LIT-AMS does not send marketing text messages or marketing calls to consumers on your behalf.

You are solely responsible for complying with the laws and rules that apply to your communications and lead activity, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule and Do Not Call rules, state telemarketing laws such as the Florida Telephone Solicitation Act, the CAN-SPAM Act, insurance advertising rules, carrier requirements, and, if you connect WhatsApp, the WhatsApp Business terms and policies of Meta. This includes obtaining and keeping any required consent and honoring opt-out and "stop" requests promptly. We may suspend messaging or lead features if we reasonably believe they are being used for unwanted, unlawful or deceptive communications.

Acceptable use

You must use the service lawfully and professionally. You may not misuse credentials, access data without authorization, upload malicious files, spam consumers, scrape the platform, interfere with security, or use the service to violate insurance, privacy, employment, consumer protection, anti-spam, or other applicable laws.

Our Acceptable Use Policy is part of these Terms.

Subscriptions, billing, and cancellation

Subscription, preview, renewal, price-change, cancellation, refund, tax, and payment terms are described in the Subscription & Billing Terms. Free Individual accounts do not authorize recurring charges. Paid subscriptions require a separate checkout on our website or an applicable business agreement; nothing is sold inside the mobile apps.

When you purchase a paid subscription, you authorize recurring charges according to the plan, billing interval, and renewal terms disclosed and accepted at checkout, subject to the price-change notice provisions in the Subscription & Billing Terms.

Service changes, availability, and support

We may update, improve, suspend, remove, or change features as the platform evolves. We work to keep the service available, but we do not guarantee uninterrupted or error-free operation.

Support is provided through the contact channels made available in the service or on the public website.

Security and account protection

We use reasonable administrative, technical, and organizational safeguards designed to protect the service and customer data. No system is perfectly secure, and you are responsible for using strong passwords, limiting access, and promptly reporting suspected unauthorized use.

You are responsible for keeping your passwords, devices that stay signed in, and email account secure, for the activity that happens under your credentials, and for deciding whether to use the account protections we make available. To the maximum extent permitted by law, we are not liable for unauthorized access, loss or misuse that results from your failure to use available protections, from credentials that are shared, reused or compromised on your side (for example through phishing, malware or a compromised email account), or from devices you leave unlocked or signed in.

Security incident notice

If we confirm a security breach that affects a customer's personal data, we will notify the affected customer without undue delay, and in any event within 72 hours after confirming it, or sooner if a law requires. The notice will describe, as far as we then know, what happened, what data was involved, what we are doing about it, and what the customer should do. We will update the customer as we learn more.

Customers are responsible for notifying their own clients, prospects, employees and regulators where the law places that duty on them, and we will provide reasonably available information to help them do so.

Intellectual property

The service, software, workflows, designs, branding, documentation, and platform content are owned by us or our licensors. These Terms do not transfer ownership of the platform to you.

You may not copy, resell, reverse engineer, or create competing products from the service except as permitted by law or written agreement.

Suspension and termination

We may suspend or terminate access if an account is unpaid, presents a security risk, violates these Terms, misuses the platform, or creates legal or operational risk.

You may stop using the service or cancel a self-serve subscription according to the Subscription & Billing Terms. Certain records may be retained as needed for security, audit, legal, tax, compliance, backup, or legitimate business purposes, as described in "Closing your account, inactive accounts and data deletion" below and in the Privacy Policy.

Closing your account, inactive accounts and data deletion

Closing your account. You can close your LIT-AMS account yourself at any time from your account settings on the website or in the mobile app. Instructions are also published at lit-ams.com/account_deletion.php. When you close your account, you lose access immediately and every signed-in browser and device is signed out. If you have a paid plan, its renewal is canceled as part of closing (or you will be asked to cancel it first) so that no further renewal charges occur; amounts already paid are not refunded except as stated in the Subscription & Billing Terms. If you own a company workspace that other users still use, you must transfer ownership or contact us before closing.

Thirty days to change your mind. Within 30 days after closure, sign in, complete any required verification and explicitly choose "Reopen my account" to restore access. Signing in alone does not reopen it. After the recovery window, the daily deletion process permanently removes your personal account data, including your login, profile, personal workspace records, uploaded files and app sign-in and push tokens. Failed deletion steps are retried; contact support if a request is delayed. Once deleted, the account cannot be restored.

Inactive free accounts. Eligible free Individual Lite accounts may be closed after at least 90 days without activity on the website or in the app. We normally send warnings around days 60, 75 and 85; closure requires a successfully sent final warning and at least five days to act on it. The separate 30-day recovery window starts when the account is actually closed, so permanent deletion is normally no earlier than day 120 of inactivity, on a subsequent daily run. Using the account before closure resets the inactivity clock; after closure, explicitly choose "Reopen my account" within the recovery window. Paid accounts, company owners and active company members are excluded. Accounts still linked to a Stripe subscription and designated internal, test or retained accounts are also excluded.

Canceling a paid plan is not closing your account. If you cancel Individual Plus or Team, your account moves to the free plan when paid access ends and your data is kept.

Company records. Closing your individual account does not delete records the agency independently controls, such as its sales, commissions or payroll. They remain under the agency's retention instructions and applicable legal recordkeeping duties, not an unlimited exemption from privacy rights. We retain a disabled "Deleted user" reference where company records need it; the company's records may still name you. Ask the agency about its retention period or contact support@lit-ams.com for help with a request.

Billing records. Our personal account billing links are removed at deletion. Stripe may retain invoices, payments and associated identifiers under its own privacy policy and applicable tax, accounting, fraud-prevention and legal obligations. A payment dispute, audit or legal hold can require longer retention. We do not store card numbers; account deletion does not erase records Stripe is required to retain.

Deletion evidence. A permanent audit record keeps closure/deletion dates, actions and record counts linked to a one-way account code, without the account name or email in that record. This is pseudonymous proof of the request and its outcome, not a retained usable account.

Agreement evidence. We retain the accepted document version, acceptance time and related identity/security evidence while needed to establish the agreement, meet applicable recordkeeping duties or resolve or defend claims. There is no single automatic expiry for these records. A verified deletion request includes review of whether identifying fields are still necessary; unnecessary fields are removed or de-identified. A specific legal hold lasts until the hold or claim is resolved and the applicable retention duty ends.

Security and delivery logs. These can retain limited account identifiers, network details and message-delivery events after active account deletion. Retention depends on the unresolved security, fraud, delivery-dispute or legal issue for which a record is needed. Not all logs have an automatic expiry. On a verified request we review relevant logs and remove or de-identify unnecessary personal information; material still needed for an identified investigation or legal hold remains restricted until that purpose ends.

Backups and development archives. Registered server backups, database exports, restore points and development copies are checked hourly and expire after 30 days from their recorded age. Copying or renaming a registered copy does not restart that period. Failed cleanup is retried and reported; our operational escalation deadline is 35 days, not an extra routine retention period. Registered workstation copies are checked while the workstation is available; a missed check is flagged after 26 hours and requires follow-up. We review other discovered locations before treating them as covered. On October 2, 2026, our unmanaged VPS hosting provider confirmed that it does not hold server snapshots, disaster-recovery backups or off-server historical copies for this service. Any future external backup service must have its actual expiry verified before use. Offline storage cannot meet an automatic deadline while unavailable and must not be used to bypass expiry; a missed workstation check requires prompt reconnection and cleanup. Verified deletion requests include review and provider follow-up as needed. An automated restore that predates a deletion is blocked; older copies require isolated recovery and reconciliation of completed deletions before returning data to use. Legally required records and agency-controlled records follow the separate criteria above.

Electronic notices

You agree that we may provide agreements, notices and other communications electronically, by email to the address on your account, in the Apps or through the service, and that these satisfy any requirement that they be in writing. Service and account messages (for example security, billing, account-closure and policy-change notices) are part of the service and are not marketing.

Indemnification

To the extent permitted by law, you will defend, indemnify and hold harmless LIT Insurance Technologies LLC and its owners, employees and contractors from and against third-party and regulatory claims, and the resulting losses, fines, damages and costs (including reasonable attorneys' fees), arising from: (a) your data and Customer Data, including your right to collect and use it; (b) your communications with leads, prospects and clients, including calls, texts, emails and WhatsApp messages and compliance with the Telephone Consumer Protection Act, Do Not Call rules, state telemarketing laws, CAN-SPAM and WhatsApp/Meta rules; (c) your misuse of the service or breach of these Terms; or (d) your violation of law or of any third party's rights.

We will defend you against any third-party claim alleging that the service, as provided by us and used in accordance with these Terms, infringes that party's intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement. This does not apply to claims caused by your data, your content, third-party services you connect, combinations with items we did not provide, or modifications or uses not authorized by us. If the service is or may be found infringing, we may modify it, obtain the right for you to keep using it, or end the affected service and refund any prepaid fees for the unused period. This paragraph states our entire obligation for intellectual-property claims.

The party seeking defense must promptly notify the other in writing, give it control of the defense and settlement (no settlement may impose an obligation or admission on the defended party without its consent), and provide reasonable cooperation.

30-day money-back guarantee

30-day money-back guarantee on your first Individual Plus or Team payment, even if you used the service. Once per customer or business. Renewals and plan changes do not restart the window. Request through Support.

The complete refund conditions and request instructions are part of the Subscription & Billing Terms at https://lit-ams.com/subscription_terms.php. The liability limitation below does not reduce this guarantee or mandatory refund rights.

Disclaimers and limitation of liability

The service, including the Apps, AI features and estimates, is provided on an as-is and as-available basis to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-revenue, lost-data, or business-interruption damages, even if we were told they were possible.

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the service or these Terms will not exceed the fees you paid us for the service in the three (3) months before the event giving rise to the claim. If you use a free plan, our total liability will not exceed US$50.

These exclusions and limits apply to every theory of liability. They do not apply only where applicable law does not allow liability to be excluded or limited.

Governing law and courts

These Terms are governed by the laws of the State of Florida, without applying conflict-of-law rules. Subject to applicable mandatory law, disputes arising from these Terms or the service will be brought in the state or federal courts located in Florida, and the parties consent to their jurisdiction. Nothing in these Terms limits rights or remedies that applicable law does not allow the parties to waive.

Changes to these Terms

We may update these Terms as the platform, legal requirements, or business practices change. Material changes will be posted through the service or public website, and we may ask you to review and accept updated Terms the next time you sign in. Continued use after changes become effective means you accept the updated Terms. Price changes follow the Subscription & Billing Terms.

If these Terms are shown in Spanish, the Spanish version is provided for convenience; if there is a conflict, the English version controls.
